1. Acceptance
These terms govern your use of the Nought application and the nought.app website (together, “Nought”), provided by TeZe Ltd (“we”, “us”). By downloading, installing, or using Nought, you agree to these terms. If you do not agree, please do not use Nought.
2. Licence to use
Nought is currently free to download and use for both personal and commercial purposes. We grant you a personal, non-exclusive, non-transferable, revocable licence to install and run Nought on Macs you own or control. You may not sell, rent, sublicense, or redistribute the application, and you may not reverse-engineer, decompile, or attempt to derive the source code except to the extent this restriction is prohibited by applicable law.
3. Your content
Nought works on files stored on your own device. You retain all rights to the spreadsheets and other content you create or open with Nought. We do not claim any ownership of your content and, because Nought runs locally, we do not access, store, or transmit it. You are responsible for your content and for keeping backups of your files.
4. Our intellectual property
Nought, including its software, name, logo, and the nought.app website, is owned by TeZe Ltd and protected by intellectual property laws. These terms do not transfer any of our intellectual property rights to you.
5. No warranty
Nought is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Nought will be uninterrupted, error-free, or that it will preserve every aspect of every file format perfectly. Nothing in these terms excludes or limits any rights you have under applicable consumer law that cannot lawfully be excluded.
6. Limitation of liability
To the fullest extent permitted by law, TeZe Ltd will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or business, arising out of or in connection with your use of Nought. Because Nought is provided free of charge, our total liability to you for any claim relating to Nought is limited to the amount you paid for it (if any). Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law.
7. Privacy
Our handling of data is described in our Privacy Policy. In short, Nought runs on your device and does not collect your personal data or the contents of your files.
8. Changes
We may update Nought and these terms from time to time. The date at the top shows when these terms were last changed. Continued use of Nought after a change means you accept the updated terms.
9. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in your country of residence.
